1. Acceptance of Terms

These Terms of Service, referred to as the “Terms,” govern your access to and use of the website, applications, products, services, content, features, and related offerings provided by Genius Ventures, Inc., collectively referred to as the “Services.”

By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

2. Eligibility

You may use the Services only if you are legally able to agree to these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Your use of the Services is also governed by our Privacy Policy. Our Privacy Policy explains that we do not intentionally collect personal data and do not sell, rent, trade, or share personal data with third parties.

You represent that you have all rights necessary to provide the content and that your content does not violate any law, regulation, third-party right, or these Terms.

If the Services do not allow user-submitted content, this section applies only if such functionality is later introduced.

We do not control third-party services and are not responsible for their content, policies, practices, availability, or operation. Your use of third-party services may be governed by separate terms and policies.

We are not liable for any modification, suspension, or discontinuation of the Services.

12. No Warranties

To the fullest extent permitted by law, Genius Ventures, Inc. disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, security, and reliability.

We do not warrant that the Services will meet your requirements, be uninterrupted, be error-free, or be free from harmful components.

13. Limitation of Liability

To the fullest extent permitted by law, Genius Ventures, Inc. and its officers, directors, employees, contractors, agents, affiliates, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, loss of goodwill, service interruption, computer damage, or system failure.

To the fullest extent permitted by law, our total liability for any claim arising out of or relating to the Services or these Terms will not exceed the greater of:

  • The amount you paid to us for the Services in the twelve months before the claim arose; or
  • USD $100.

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

You agree to defend, indemnify, and hold harmless Genius Ventures, Inc. and its officers, directors, employees, contractors, agents, affiliates, licensors, and service providers from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising from or related to:

  • Your violation of these Terms
  • Your violation of any law or third-party right
  • Any content you provide through the Services

15. Termination

We may suspend or terminate your access to the Services at any time if we believe you have violated these Terms, created risk or possible legal exposure, or used the Services in a harmful, unlawful, or abusive manner.

You may stop using the Services at any time.

Sections that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution provisions.

16. Governing Law

These Terms are governed by the laws of Wyoming, without regard to conflict-of-law principles.

17. Dispute Resolution

Before filing a claim, you agree to first contact us at [email protected] and attempt to resolve the dispute informally.

If the dispute cannot be resolved informally, the dispute will be resolved in the courts located in Wyoming, unless applicable law requires otherwise.

18. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the “Effective Date” above and may provide additional notice where required by law.

Your continued use of the Services after updated Terms are posted means you accept the updated Terms.

19. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will remain in full force and effect.

20. Entire Agreement

These Terms, together with the Privacy Policy and any additional terms that apply to specific Services, form the entire agreement between you and Genius Ventures, Inc. regarding the Services.
